Definition of Ratification



Ratification means confirmation of an agreement. In regular terms, some contracts or agreements are not enforceable until ratified or confirmed by the party that is involved in the agreement. In corporate environment, the appointment of an auditing firm is recommended and finalized by the audit committee, which in turn does not happen until the shareholders ratify.

 


Unless the shareholders ratify the decision of the audit committee the auditors cannot be considered as official auditors of the company and any action against the auditors for non-performance of audit work shall be enforceable.
